Corradino v. Shestakov Alleges $4.2M Investment Fraud in Crypto Ventures

A civil complaint claims that German Shestakov and his associates orchestrated a multimillion-dollar investment scheme involving crypto companies. Plaintiffs Jack Corradino, Gina Corradino Hanley, and JCP Enterprises 1 LLC allege that they collectively invested approximately $4.2 million based on false representations about the financial health and growth prospects of companies controlled by the defendants, ultimately suffering significant financial losses (Compl. ¶1).

Alleged Fraudulent Investment Scheme

The lawsuit details an alleged scheme spanning several years in which the defendants, including German Shestakov, Gennadiy Shestakov, Stanislav Shestakov, Rudolf Yagudayev, and Eugene Migirov, are accused of misrepresenting the financial conditions of entities such as FlexFills LLC, FlexFills Digital Ltd., and Fehu Capital. These misrepresentations allegedly included inflating valuations and manipulating financial records to entice the plaintiffs to invest (Compl. ¶¶6, 259).

The complaint further claims that the defendants used intricate means to divert or misappropriate the invested funds for personal use or undisclosed purposes. This alleged misdirection included unauthorized fund transfers and financial misstatements aimed at concealing operational deficiencies and failures (¶¶14, 259, 281).

The Financial Transactions

According to the filing, between 2022 and 2025, the plaintiffs invested around $4.2 million into the defendants' ventures. Jack Corradino allegedly transferred $2.95 million to Fehu from April to July 2024, while Gina Corradino Hanley transferred $400,000 in March 2025 (¶14, 353). JCP Enterprises 1 LLC reportedly invested $550,000 into FF Digital, an amount purportedly misused for "operational expenses" that served no legitimate business purpose (¶259).

Parties and Roles

The defendants allegedly include: German Shestakov, the CEO and co-founder of FlexFills; Gennadiy Shestakov, the CTO, and another co-founder; Stanislav Shestakov, involved in technology and development; Rudolf Yagudayev, the COO and co-founder; and Eugene Migirov, the fund manager of Fehu. Corporate entities tied to the case include FlexFills, FF Digital, and Fehu.

The complaint further names Shestakov Enterprises LLC and Yehuda Capital LLC as alter egos used by the defendants to siphon funds and evade accountability (¶265).

Legal Claims Presented

The lawsuit comprises a total of 21 counts, each targeting specific allegations of misconduct under multiple legal frameworks. Key claims include:

  • Common Law Fraud against German Shestakov and Rudolf Yagudayev, asserting intentional misrepresentation of material facts (Count I).
  • Civil Conspiracy, alleging concerted actions among all defendants to deceive the plaintiffs and misappropriate funds (Count II).
  • Aiding and Abetting Fraud, with Gennadiy and Stanislav Shestakov, and Migirov accused of supporting fraudulent activities by failing to disclose crucial financial information (Count III).
  • Piercing the Corporate Veil aimed at holding German Shestakov and Rudolf Yagudayev personally liable for corporate misdeeds conducted through company entities (Count IV).
  • Violations of the Securities Exchange Act, specifically Sections 10(b) and 20(a), which require detailed proof of misleading statements in connection with the purchase or sale of securities by various corporate entities (Counts V-X).
  • Control Person Liability under § 20(a) for JCPE against Shestakov and Yagudayev concerning FF Digital, alleging their substantial influence over the company's actions (Count IX).
  • Violation of the New Jersey Uniform Securities Law, invoking state-specific securities regulations against FlexFills, FF Digital, and Fehu (Counts XI-XVI).
  • Control Person Liability under N.J.S.A. 49:3-71(d) for JCPE against Shestakov and Yagudayev, citing their leadership roles and failure to prevent securities violations within FF Digital (Count XV).
  • Breach of Fiduciary Duty against Eugene Migirov by plaintiffs Corradino and Hanley (Count XVII).
  • Conversion and Unjust Enrichment, alleging that the defendants improperly took and benefitted from the plaintiffs' funds (Counts XVIII, XIX).
  • Accounting demands, seeking a full breakdown of fund use and asset tracing from Migirov and Fehu (Count XX).
  • Establishment of a Constructive Trust over the diverted assets to ensure proper restitution (Count XXI).

Relief Sought and Case Status

The plaintiffs are requesting monetary damages to cover their financial losses and interest, an accounting to clarify the flow of funds, and the establishment of a constructive trust. Furthermore, they seek punitive damages reflective of the alleged misconduct's severity, along with compensatory damages for breaches of fiduciary duty. The plaintiffs have requested a jury trial to resolve these claims (Compl. ¶384).

As of now, the allegations remain unproven, and the defendants have yet to file a response to the complaint. The case serves as a significant test of allegations that involve complex financial mismanagement and securities fraud within the burgeoning sector of cryptocurrency investments.
